CONTRATO DE DONACIÓN EN INGLES

Agreement entered into in ___________, by and between _______, condition ____________, domiciled at ______________, and __________________, condition ______________, domiciled at ______________, both of them of the Capital City of _______, on this _______, day of _______, Two thousand and _______.

One. ____________, hereinafter called AS SIGNOR, hereby assigns and transfers unto ______________, hereinafter called ASSIGNEE, all the rights, claims and choses in action hereinbelow described: ______________________________________________________________________________________________________________________________________________________________________________________________________________.

Two. The subscribing parties represent that said choses in action include the Secondary rights and/or causes of action and the limitations thereon as hereinafter established and described: ____________________________.

Three. This Contract of Assignment is gratuitous/onerous; therefore, it is not/it is supported by a good and valuable consideration by Assignee, consiting of ______________; the parties hereto agree that, pursuant to the provisions of sections ______________ of the Código Civil Federal, the laws governing exchanges, to assignments for a price; those governing gifts, to gratuitous assignments; and the provisions contained in the _____________________, to assignment of notes, negotiable promissory notes, orbills of exchange or shares to bearer.

Four. Assignor states that his credits are unrestricted, in full force, that no writ of attachment has been issued thereon, nor any order enjoining him from trasnferring said credits by way of assignment has been entered, and that he is the owner and holder thereof; furthennore, he warrants against insolvency of the original debtor, who shall be notified hereof by any reliable means. Assignor expressly states that this contract and the subjectmatter hereof are not contingent upon any ______________, whatsoever and that, should it be necessary to reduce these presents to writing by means of a deed on a public act pursuant to the Código Civil above, section _______, he binds himself to execute said deed as soon as he is required so to do and holds himself liable for all and every expenses and damages arising from any failure in performance of his own obligations or in appearance in any action founded hereon.

Five. In the event that assignee fails his obligations contained herein, the following remedy/ies/ is/are accorded to Assignor, to wit: _____________________, and in the event that the latter fails to fulfil his, or in the case of defects in the credits the subjectmatter hereof, or of impossibility to collect them, or of insolvency, the following remedies are accorded to Assignee, to wit: _____________________.
